Micron invests a whopping $18 billion in cash to acquire Powerchip Technology's P5 DRAM fab in Tongluo, expanding its DRAM production capacity in Taiwan.

Micron Technology announced today (January 17th) that it has signed an exclusive letter of intent with Powerchip Semiconductor Manufacturing Company (PSMC) to acquire PSMC's P5 wafer fab in the Tongluo Science Park, Miaoli County, Taiwan, for a total cash consideration of US$18 billion (approximately NT$58 billion). This acquisition will not only provide Micron with readily available cleanroom space to expand its DRAM production capacity, but the two companies will also engage in strategic cooperation to jointly develop back-end memory manufacturing processes and niche products.

Micron is "buying faster than building" a 30-square-foot existing factory.

According to Micron's statement, the acquisition includes an existing 300mm (12-inch) wafer fab cleanroom with an area of ​​approximately 30 square feet. The transaction is expected to close in the second quarter of 2026, and Micron will acquire ownership of the facility once the agreement is formally signed and regulatory approvals are obtained.

Manish Bhatia, Micron's Executive Vice President of Global Operations, pointed out that acquiring the existing front-end process cleanroom will complement Micron's current operations in Taiwan (especially the nearby Taichung plant). In a market where memory demand continues to exceed supply, this will enable faster capacity expansion to serve customers and leverage operational synergies.

The two parties have launched a strategic cooperation: back-end packaging and testing and niche DRAM.

This transaction goes beyond a simple asset sale; it involves a deep integration of technology and business. The letter of intent indicates that Micron will establish a long-term partnership with Powerchip Technology, focusing on:

• DRAM wafer post-wafer assembly processing:The two sides will cooperate in this area.
• Niche DRAM:Micron will assist Powerchip in refining its existing niche DRAM product line.

Timeline: Capacity contribution in the second half of 2027

Following the completion of the transaction, Micron plans to deploy equipment to its P5 fab in phases, while Powerchip will transfer the fab's operations over a specific period. Micron expects this newly commissioned wafer fab to begin making a significant contribution to the company's DRAM revenue starting in the second half of 2027.

Analysis of viewpoints

This acquisition reflects two key realities of the semiconductor market in 2026: "capacity anxiety" and "capital reallocation".

For Micron, with the explosive growth in demand for HBM (High Bandwidth Memory) and DDR5 from AI servers, building a new wafer fab would typically take 3 to 5 years, which is far from sufficient. Acquiring Powerchip Semiconductor's existing P5 fab in Tongluo, while still requiring time for equipment installation and adjustments, saves at least half the time cost compared to building a fab from scratch. Furthermore, the proximity of Tongluo to Micron's back-end packaging and testing base in Taichung facilitates the creation of a compact production cluster.

For Powerchip Semiconductor, receiving $18 billion in cash at once brings even greater benefits. In the current fiercely competitive mature process technology market, directly monetizing the P5 fab, which is not yet fully operational, can not only improve its financial structure, but also obtain technical support (especially for niche DRAM) through a "strategic partnership" with Micron. This may be a smart move for Powerchip Semiconductor to transform into an asset-light company and focus on high-margin products.
